Amsterdam - The Board of the European Aeronautic Defence and Space Company N.V. (EADS) met in Amsterdam on Friday for the first time and officially appointed the top management for its operational business. In addition, the Board took all the remaining decisions needed to fulfil the legal prerequisites and ensure the smooth start-up of EADS operations on Monday.
The EADS Board, which is headed by its two Chairmen, Dr. Manfred Bischoff and Jean-Luc Lagardère, consists of nine members in all, who have been appointed by the chief partners DaimlerChrysler AG, the Lagardère Group together with the French holding SOGEPA and the Spanish state holding company SEPI. The Board is the company's highest decision-making and supervisory body after the Shareholders' General Meeting. Back at the start of the merger process last autumn the two Chief Executive Officers (CEOs) Philippe Camus and Rainer Hertrich, who are responsible for the operational business, had already been nominated as Members of the EADS Board.

Jean-René Fourtou, Vice Chairman of Aventis S.A
Louis Gallois, Chairman of SNCF, the French state-owned railway company
Dr. Michael Rogowski, President designate of the Federation of German Industries and Chairman of the Supervisory Board of J.M. Voith AG
At its meeting in Amsterdam the EADS Board confirmed the previously announced nominations to the Executive Committee, the central management body of the company's business operations. In accordance with the Board's decision, the following will join Philippe Camus and Rainer Hertrich as Members of the EADS Executive Committee: Axel Arendt as Chief Financial Officer, François Auque as Head of the Space Division, Thomas Enders as Head of the Defence and Civil Systems Division, Alberto Fernandez as Head of the Military Transport Aircraft Division and CEO of CASA, Noël Forgeard as CEO of the Airbus Division, Jean-Louis Gergorin as Head of Strategic Coordination, Jean-Paul Gut as Head of Marketing, Gustav Humbert as Chief Operating Officer of the Airbus Division and Dietrich Russell as Head of the Aeronautics Division.
Philippe Camus and Rainer Hertrich commented on the decisions made by the EADS Board by saying: "EADS is ready for take off. A unique and historic merger is becoming reality. With the birth of EADS we are experiencing the first full trilateral merger in industry and the first simultaneous flotation in three countries. The fact that we have achieved this in the short preparatory period of seven months is a demonstration of the consensus that exists in all three countries and among all the participants, especially the employees, that we can and indeed wish to successfully shape our future only by acting in unison."
EADS will be founded on Monday, 10 July 2000 through the merger of Aerospatiale Matra (Paris), Construcciones Aeronáuticas S.A. (CASA, Madrid) and DaimlerChrysler Aerospace AG (Dasa, Munich). It is the first transnational company in the aerospace branch and its shares will for the first time be offered on the stock exchanges in Frankfurt, Madrid and Paris on 10 July.
