EADS N.V. - EADS New Board Composition: ; Proposal to the Extraordinary General Meeting of Shareholders ;

Following the agreement between the core shareholders of 16 July 2007 which led to nominate Rüdiger Grube as sole Chairman and Louis Gallois as sole CEO, and which provided for a changed composition of the Board now including four independent Directors, effective after the Extraordinary General Meeting, the Board of the Company is proposing to the Extraordinary General Meeting the following appointments of Board members:

Mr. Arnaud Lagardère, General Partner and CEO of Lagardère SCA
Mr. Hermann-Josef Lamberti,
Member of the Management Board of Deutsche Bank AG
Mr. Lakshmi N. Mittal,
President and Chief Executive Officer of Arcelor Mittal
Sir John Parker, Chairman of National Grid
Mr. Michel Pébereau, Chairman of BNP Paribas
Mr. Bodo Uebber,
Member of the Board of Management of DaimlerChrysler AG

The submission of names for the seats of the four independent members of the Board of Directors was supported by a renowned global executive search consulting firm. The credentials of the proposed members of the board are available in the Investor Relations section of the company website, at www.eads.net/Proposed_BoD_Composition.

The Extraordinary General Meeting will take place on 22 October 2007, in Amsterdam. The convening notice and the associated documentation will be circulated in the next days. The appointment of each of the proposed directors will be subject to an individual resolution by the shareholders voting at the meeting.
